1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Clientop.io ("Clientop," "we," "us," or "our") governing your access to and use of the Clientop Client Operations Infrastructure Platform and all associated services.
By accessing or using Clientop, executing an Order Form, or clicking "I Agree," you agree to be bound by these Terms. If you do not agree, you may not access or use our services.
2. Services and License
2.1 License Grant
Subject to these Terms and payment of applicable fees, Clientop grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Clientop platform solely for your internal business operations during the subscription term.
2.2 Service Delivery
Clientop will use commercially reasonable efforts to make the platform available 99.9% of the time, measured monthly, excluding scheduled maintenance and circumstances beyond our reasonable control. Service credits for downtime are described in applicable Service Level Agreements.
3. Account Registration and Security
- You must provide accurate, complete, and current information during registration
- You are responsible for maintaining the confidentiality of your account credentials
- You are responsible for all activities that occur under your account
- You must notify us immediately of any unauthorized access or security breach
- You may not share account credentials with individuals outside your authorized team
4. Subscription and Payments
4.1 Fees and Billing
Subscription fees are charged monthly or annually as specified in your Order Form. All fees are due in advance and are non-refundable except as described in our Refund Policy. We reserve the right to modify pricing with 30 days' written notice.
4.2 Taxes
Fees do not include applicable taxes. You are responsible for all taxes, levies, and duties associated with your use of Clientop, excluding taxes on our net income.
5. Acceptable Use
You agree not to use Clientop to:
- Violate any applicable law, regulation, or third-party rights
- Upload or transmit malicious code, viruses, or disruptive programs
- Attempt to gain unauthorized access to our systems or other users' data
- Use the platform for competitive analysis or to build competing products
- Reverse engineer, decompile, or disassemble the platform
- Transmit spam, unsolicited communications, or engage in phishing activities
- Store or process data in violation of applicable privacy laws
6. Data Ownership and Processing
You retain ownership of all data you input into the Clientop platform ("Customer Data"). You grant Clientop a limited license to process Customer Data solely to provide the services. We will not access, use, or disclose Customer Data except as necessary to provide services or as required by law.
7. Intellectual Property
Clientop retains all intellectual property rights in the platform, including software, technology, documentation, and all improvements. You may not use our trademarks, logos, or brand elements without prior written consent.
8. Confidentiality
Each party agrees to maintain the confidentiality of the other party's non-public information and not to use or disclose it except as necessary to perform obligations under these Terms or as required by law.
9. Warranty Disclaimer
THE CLIENTOP PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIENTOP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Clientop, its officers, directors, employees, and agents from claims, damages, and expenses arising from your use of the platform, your violation of these Terms, or your violation of any third-party rights.
12. Termination
Either party may terminate the agreement with 30 days' written notice. Clientop may suspend or terminate immediately for material breach, non-payment, or violation of our Acceptable Use Policy. Upon termination, your license ends and we will provide data export assistance for 30 days.
13. Governing Law
These Terms are governed by applicable commercial laws. Disputes shall be resolved through binding arbitration, except either party may seek injunctive relief in courts of competent jurisdiction.
